Step 1: WELCOME EMAIL
Once you pay for your application, you will receive a welcome email. In this email, you will find the confirmation of your company’s name and also the timeline for your Certificate of Formation (if your company is an LLC), or Certificate of Incorporation (if your company is a Corporation).
The Certificate takes around 3-7 business days to be ready in Delaware and 1-5 business days in Wyoming. Please make sure you have provided all the required information in your account so that we can proceed with the next steps.
Step 2: CERTIFICATE OF FORMATION/INCORPORATION
Your Certificate will be uploaded to your account and also sent to your email address. If there is any missing information in your account, you will be asked to go to your account on the website https://firstbase.io/ and fill out the required information.
The clients usually forget to provide the addresses of their shareholders or owners and, in these cases, we are not able to move forward with the Operating Agreement (LLC) or Post-Incorporation Package (Corporation). That being said, the registration process will remain on hold until the requested information is provided.
In short, please make sure to provide all the information from the beginning!
Steps 3 and 4 start at the same time!
Step 3: OPERATING AGREEMENT/ POST-INCORPORATION PACKAGE
The Operating Agreement (LLC) and the Post-Incorporation package (Corporations) will be uploaded to your account and also sent by email usually 3-4 business days after the company is formed unless the legal team needs additional information.
Please keep in mind that:
Post-incorporation documents for companies with 3 or more shareholders or members can take more time to be ready.
In the case of vesting schedules, the post-incorporation documents will take more time!
Please review the documents and let us know in case they are not accurate so we can make the necessary changes. You do not need to sign and send them back to us as these documents are for your company’s internal records only. If you need to modify them, you can do so on your end or you can reach out to our legal team by clicking on “Contact us” on the website and they will be happy to help you.
Step 4: EIN / SS4 AND 8821 FORMS
If you are not an SSN/ITIN holder, you will receive both the SS-4 and 8821 forms to sign electronically via "Eversign". Once you sign these documents, we can start the EIN process for your company. According to the IRS, the processing time can take around 20-30 business days.
If you are an SSN holder, please provide your personal tax number in the post-payment information under your account. This way we are able to obtain the EIN online for your company in 1-2 business days.
Step 5: THE EIN LETTER IS READY!
It means the EIN was assigned to your company by the IRS. You will receive the 147c letter by email (it is also uploaded to your account) with further instructions on how to access the registered agent (Cloud Peak Law) portal and apply for the bank account Therefore, follow the instructions in this email to have the registration process completed.
The registered agent will send you an email with further instructions on how to access their mail service. Once you have access to their platform, you will be able to forward any mail to your home address (including Mercury debit card). Please check your spam/junk folders to make sure you didn't miss anything.
